Digimonk Marketing Pvt Ltd. and its subsidiaries and affiliates (collectively ‘Digital ROI’) provide you access to a variety of services, including, but not limited to, the Digital ROI website and all products and services available through our website (collectively ‘Services’). These TERMS OF USE (TERMS) govern access to and use of digitalroi.io’s Services. This website is owned and operated by Digimonk Marketing Pvt Ltd., a company incorporated under the Indian Companies Act, 2013. The term ‘Digital ROI’ or ‘us’ or ‘we’ or ‘our’ or ‘company’ refers to the owners, managers and employees of Digital ROI. The term ‘you’ refers to the user or viewer of Digital ROI’s Services.
These TERMS apply to your use of Digital ROI’s Services. Please read them carefully for, by using Digital ROI Services, you agree to be bound by them.
SERVICE USE GUIDELINES
What you see on our Services may be protected by one or more laws regarding intellectual property.
– PRIVACY
Our Privacy Policy explains our collection and use of information on the Service, including information you may consider personal. You consent to the information practices described in that policy as it may be updated from time to time.
– SECURITY
We take the security of Digital ROI very seriously. We use reasonable practices to protect the security of your data. We always keep a lookout for security loopholes in Digital ROI. If you discover a vulnerability in our service, we would be grateful if you let us know immediately. To report a vulnerability, please email [email protected].
– COPYRIGHT
Digital ROI respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your content has been copied in a way that constitutes copyright infringement, please send us an email on [email protected] with your contact information.
We reserve the right to remove content alleged to be infringing or otherwise illegal without prior notice and at our sole discretion. In appropriate circumstances, Digital ROI will also terminate a user’s account if the user is deemed to be a repeat infringer.
DISCLAIMERS
Digital ROI is provided “as is” without any warranties, express or implied.
Digital ROI disclaims all warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.
– LIMITATION OF LIABILITY
To the fullest extent allowed by law, Digital ROI shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible losses resulting from: (A) your access to, use of, inability to access or inability to use Digital ROI; (B) any third-party conduct or content on Digital ROI, including any defamatory, offensive or illegal conduct of third parties; or (C) any unauthorised access, use or alteration of your content.
Payment & Refund
Payments for the products / services on Digital ROI, at the option of the relevant seller, can be made by way of (i) Payment on Billing which can be made through the Digital ROI authorized payment gateway Facility or by depositing cash, cheque, demand draft in the bank account of the Company;
For the purposes of buying and/or selling any products / services listed on Digital ROI, you agree and undertake not to make payments in any manner other than as provided, without the prior consent of the Company.
You acknowledge and accept that you have specifically authorized the Company to collect, process, facilitate and remit payments and/ or the Transaction Price by any of the prescribed methods of payment through Payment on Billing or Payment on Delivery to and from other Users in respect of Transactions.
In order to enable Users to carry out transactions on Digital ROI, the Company will in addition to other methods of payment provide an electronic payment facility i.e. Digital ROI authorized payment gateway facility by E-billing Solutions Private Limited on the Website. The Digital ROI authorized payment gateway facility enables automated collection and remittance services using the facilities of various Indian banks, financial institutions, credit/ debit/ cash card brands, various third party service providers and/or payment card industry issuers and through such other infrastructure and facilities as may be authorized by the Reserve Bank of India for collection, refund and remittance, as the case may be. The Digital ROI authorized payment gateway facility shall be availed in accordance with the terms of this User Agreement and the rules and policies prescribed hereunder.
The Company shall make reasonable efforts to ensure that requests for electronic debits and credits involving Issuing Bank are informed to the Nodal Bank (defined below) in a timely manner. However, a number of factors that are outside of the Company’s control (including without limitation actions of Issuing Bank, Nodal Bank and the bank or credit / debit/ cash card and/or banks or financial institution infrastructure or indirectly through payment gateway facility providers or through any such facility authorized by the Reserve Bank of India to provide enabling support facility for collection and remittance of payment where the Transaction Price is remitted and/or refunded) may delay the time within which the Transaction Price are collected/ remitted by the Company through the Digital ROI authorized payment gateway facility. The Company neither makes any representations nor makes any warranties regarding the amount of time needed to complete processing, including delays in the banking system and nor shall the Company be liable for any actual or consequential damages arising from any claim of delay.
You agree and accept that the Company is neither acting as trustee nor acting in a fiduciary capacity with respect to the Transaction or the Transaction Price, by providing the Digital ROI authorized payment gateway facility or any other method of payment to its Users.
Refund
Digital ROI will refund payment in 14 working days after getting written request at [email protected]
– ARBITRATION
If you become disgruntled with Digital ROI for any reason, we’d like the opportunity to work out our differences informally. We strongly encourage you to contact us at [email protected] and we’ll do our best to resolve the dispute in good faith.
– JURISDICTION
The terms of this agreement are exclusively based on and subject to Indian law. You hereby consent to the exclusive jurisdiction and venue of courts in Mumbai, India in all disputes arising out of or relating to the use of Digital ROI Services. The use of Services is unauthorised in any jurisdiction that does not give effect to all provisions of these TERMS, including without limitation this paragraph.
– ENTIRE AGREEMENT
These TERMS and our Privacy Policy constitute the entire agreement between you and Digital ROI. If any provision of these TERMS is found to be unenforceable, the remaining provisions will continue to be in full force and effect.
– MODIFICATION
These TERMS may be modified from time to time. You agree to accept any changes or revisions to these TERMS by continuing to use Digital ROI.
